Purpose:
The role of Associate General Counsel and Corporate Secretary at our company offers a unique opportunity to support the General Counsel and manage legal, compliance, and system matters. This position also includes serving as the Corporate Secretary, responsible for maintaining the Bank's official corporate documents and providing guidance on board and corporate governance matters.
Specific Responsibilities:
- Advise management on legal matters and draft or review contracts and communications. - Assist with FHLBank System specific working group initiatives. - Maintain official corporate records and serve as a point of contact for communications with the Board. - Plan agendas for Board and Committee meetings and oversee the production of relevant data and analyses. - Provide guidance on governance matters and attend and take minutes during meetings. - Manage training for Board members and staff on compliance with FHFA requirements. - Oversee SEC filing requirements and coordinate with Financial Reporting. - Ensure compliance with legal requirements for corporate governance records and mitigate any findings. - Manage the Board's annual director election process and vacancy election process. - Serve as the Board Liaison.

Business:
- Strong understanding of corporate governance practices, banking law, and general corporate law. - Familiarity with online document portals such as BoardVantage is a plus. - Minimum of 6 to 8 years of corporate legal experience.

- Strong communication skills and ability to interact effectively with various stakeholders. - Ability to work independently and exhibit initiative. - Willingness to work full-time and overtime as necessary. - Must pass a background check.
